Content you submit or post remains your property. However, by submitting it, you grant us a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable license to use, display, reproduce, modify, adapt, publish, translate, and distribute it in any media solely for the purpose of delivering, improving, and promoting our Services.

7.5 Client Deliverables

Unless otherwise agreed in writing, final deliverables created under a paid engagement are licensed or assigned according to the project agreement. Working files, tools, templates, and internal methodologies remain Socialache property except where transfer is expressly stated in the statement of work.

Our Services may contain links to third-party websites or services that are not owned or controlled by Socialache. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

9. Payments and Refunds

• All fees are listed in Indian Rupees (₹) unless otherwise stated.
• Payment is due prior to service delivery unless a different arrangement is agreed upon in writing.
• You are responsible for all applicable taxes, duties, and charges.

10. Disclaimers

10.1 Professional Services Disclaimer

Socialache provides brand, web, and documentation services. Deliverables are based on information you supply and the agreed scope. We do not guarantee commercial outcomes such as rankings, sales, funding, or regulatory approval unless expressly stated in writing.

10.2 General Disclaimer

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

To the fullest extent permitted by applicable law:

• Socialache shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
• Our total liability to you shall not exceed the total amount paid by you to Socialache in the twelve (12) months preceding the claim, or ₹1,000 (One Thousand Indian Rupees), whichever is lower.
• We are not liable for service interruptions caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

12. Indemnification

You agree to indemnify, defend, and hold harmless Socialache, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our Services or your violation of these Terms.

13. Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for violation of these Terms or for any other reason at our sole discretion.

Upon termination:

• All licenses granted to you under these Terms shall immediately cease.
• You must immediately discontinue all use of our Services.
• Provisions regarding intellectual property, limitation of liability, and indemnification shall survive termination.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana, India.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and Socialache regarding your use of our Services and supersede all prior agreements, understandings, or representations, whether written or oral.

17. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Socialache.

18. Force Majeure

Socialache shall not be held liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events or circumstances beyond our reasonable control.

19. Changes to These Terms

We may update or modify these Terms at any time. Continued use of our Services after any changes constitutes your acceptance of the revised Terms. Material changes will be communicated to you via email or through a notice on our website at least 7 days before taking effect.
